An extraordinary meeting of Mediaset shareholders today approved the merger of Italian and Spanish activities into a Dutch-registered holding company called MFE – MediaForEurope that will become the new holding company of the Mediaset Group.
At the time of the vote 62.58% of the capital was present in the classroom. The votes in favor of the operation, supported by Fininvest, amounted to 78% of those present, while those against (with Vivendi) were 21%.
As a result of the merger, that will be considered completed upon the occurrence of conditions precedent set by the common project of the cross-border merger, all Mediaset and Mediaset España shares will be canceled and the shareholders will receive ordinary MFE shares.
In particular, Mediaset shareholders will receive an ordinary MFE share for each Mediaset share presently held. A special voting mechanism will also be adopted to reward long-term owning of ordinary MFE shares.
